S’gelaHub School Partnership Agreement

This School Partnership Agreement (“Agreement”) is entered into between:

S’gelaHub (Pty) Ltd (“Platform”)
and
[School Name] (“School”)

1. Purpose

This Agreement governs the partnership whereby the School integrates S’gelaHub into its academic support system to enhance learner performance through AI-assisted learning tools.

2. Scope of Services

S’gelaHub will provide:

• AI Homework Assist tools
• Learner performance analytics
• Parent engagement dashboards
• Exam preparation tools
• Optional teacher insight dashboards (future feature)

3. Responsibilities of S’gelaHub

S’gelaHub agrees to:

• Provide access to the platform
• Maintain system availability and security
• Process learner data responsibly
• Continuously improve AI learning systems
• Provide reasonable technical support

4. Responsibilities of the School

The School agrees to:

• Encourage parent registration and learner participation
• Use the platform ethically and for educational purposes
• Not misuse or manipulate learner data
• Ensure teachers do not rely solely on AI outputs
• Provide accurate school-related information

5. Parent Relationship

S’gelaHub operates under a parent-controlled model:

• Parents create accounts
• Learners are linked to parents
• Schools do not directly control learner accounts unless agreed

6. Data Ownership

• Learner data belongs to the Parent/Guardian
• S’gelaHub acts as a data processor
• Schools may access aggregated insights where permitted

7. Data Protection

Both parties agree to comply with:

• The Protection of Personal Information Act (POPIA)
• Applicable data protection laws

Data must only be used for educational purposes.

8. Fees and Revenue Model

• Parent-paid subscriptions
• Hybrid model
• Affiliate-based school commissions

9. Confidentiality

Both parties agree to keep confidential:

10. Term and Termination

This Agreement remains valid until terminated by either party with 30 days written notice.

Immediate termination may occur in cases of:

• breach of agreement
• misuse of data
• illegal activity

11. Limitation of Liability

S’gelaHub is not responsible for:

• academic performance outcomes
• misuse of the platform by school staff
• AI-generated inaccuracies

12. Governing Law

This Agreement is governed by the laws of the Republic of South Africa.
